GoesAI Commercial Terms of Service.
Overview
These Commercial Terms of Service ("Terms") are an agreement between GoesAI and you or the organization, company or other entity you represent ("Customer"). These Terms govern Customer's use of GoesAI API keys and all related tools, documentation and services ("Services"). These Terms are effective from the date Customer first electronically agrees to or first accesses the Services.
Services
Subject to these Terms, GoesAI grants Customer permission to use the Services, including to support products and services that Customer provides to its own customers and end users. Third-party models, cloud platforms, APIs, compatible interfaces or other third-party products may be subject to their own terms, policies, regional restrictions and pricing; changes, suspensions or terminations of such third-party products may affect Customer's use of the Services.
Customer Content
As between the parties and to the extent permitted by applicable law, Customer retains all rights to its inputs and owns its outputs. GoesAI does not use Customer Content from the Services to train models. "Inputs" means content submitted by Customer to the Services, and "Outputs" means responses generated by the Services in response to Inputs.
Use Restrictions
Customer shall not and shall not attempt to: • Access or use the Services to build competing products or services, including training, fine-tuning, distilling competing AI models • Reverse engineer, copy, scrape, bulk extract or circumvent rate limits on the Services • Support any third party in attempting the above restricted activities Customer is responsible for all activities under its account and must take reasonable measures to protect its credentials.
Fees
Customer is responsible for fees incurred under its account, at rates specified on the model pricing page. GoesAI may update published rates, with updates taking effect 30 days after publication. Failure to pay all amounts due when due may result in suspension or termination of Services.
Refund Policy
• Refund requests based on Customer's own change of mind may be rejected by GoesAI • Refund requests related to restriction, suspension or termination for Terms violations may also be rejected • Consumed fees and credits are non-refundable • Refund requests within 90 days of order payment will be refunded through the original payment channel • All refund requests require review and submission of original payment receipts and identity information
Termination and Suspension
• Either party may terminate for convenience at any time by notice, but GoesAI must give 30 days advance notice • Either party may terminate for material breach by the other party with 30 days notice, unless cured within that time • If GoesAI reasonably determines that providing Services to Customer is prohibited by applicable law, it may terminate immediately • After termination, Customer must cease using the Services; termination does not affect rights or obligations that accrued prior to termination
Limitation of Liability
To the maximum extent permitted by law, GoesAI is not liable for indirect damages, lost profits or data loss. In no event shall GoesAI's aggregate liability exceed the total fees paid by Customer for the Services in the 12 months preceding the event giving rise to the claim.
